1. General provisions
1.1. These Terms govern the use of the LogAgent desktop application and the website https://logagent.app (the "Application", "Services" and "Site").
1.2. Key definitions:
- Provider (Licensor) — Vakser Artem Alekseevich (Individual Entrepreneur), Russia, the developer of the Application.
- Merchant of Record — Paddle.com Market Ltd, the authorized reseller that sells the Application to you and handles billing and taxes.
- User (Licensee) — a person who purchases and/or uses the Application.
- License — a non-exclusive right to use the Application under these Terms.
- Hardware ID — a unique device identifier to which the License is bound.
1.3. Installing, purchasing, or using the Application constitutes acceptance of these Terms. If you do not agree, do not use the Application.
2. The license
2.1. The Provider grants the User a non-exclusive, non-transferable license to use the Application for its intended purpose.
2.2. The License is offered as a monthly or annual subscription, or as a one-time perpetual (Lifetime) license. The functionality is identical across all plans.
3. License and activation
3.1. After payment, the User receives a license key by email and/or on the success page.
- One license activates the Application on one device, bound to its Hardware ID.
- The Hardware ID is shown in Settings → License.
- Activation works offline; a permanent connection is not required.
3.2. The User is responsible for keeping the license key confidential. The Provider is not liable for losses caused by transferring the key to third parties.
4. Orders, payment and taxes
4.1. Orders are sold and processed by our Merchant of Record, Paddle. When you buy a license, your purchase is also subject to Paddle's Buyer Terms, and Paddle appears as the seller on your receipt and statement.
4.2. Prices are displayed at checkout in the applicable currency and may include or exclude tax (VAT/GST/sales tax) depending on your location; Paddle calculates and remits applicable taxes.
4.3. We and Paddle do not receive or store full card details; card data is handled by Paddle under the PCI DSS standard.
5. Subscriptions and auto-renewal
5.1. Subscriptions renew automatically for the next period at the then-current price until cancelled.
5.2. You may cancel renewal at any time via the link in your Paddle receipt or by contacting support@duohuman.ai; the License remains active until the end of the paid period.
6. Refunds and right of withdrawal
6.1. Refunds are handled by Paddle. You may request a refund within 14 days of purchase via support@duohuman.ai or Paddle.
6.2. EU/UK consumers have a 14-day right of withdrawal for digital purchases. By starting to download or use the Application immediately, you acknowledge that you may lose this right once supply has begun, to the extent permitted by law.
7. Acceptable use
7.1. The User agrees not to:
- Reverse engineer, decompile, or modify the Application, except as permitted by law
- Resell, sublicense, rent, or distribute the License or key
- Circumvent or disable license activation and protection mechanisms
- Use the Application for any unlawful purpose
8. Warranty disclaimer
8.1. To the extent permitted by law, the Application is provided "as is" and "as available", without warranties of any kind. This does not affect mandatory statutory consumer rights that cannot be excluded.
9. Limitation of liability
9.1. To the maximum extent permitted by law, the Provider's total liability is limited to the amount you paid for the License in the 12 months before the claim. The Provider is not liable for indirect, incidental, or consequential damages.
9.2. Nothing limits liability that cannot be limited by law. The Application is a productivity tool and does not provide medical advice or diagnosis.
10. Personal data
10.1. Personal data is processed under the Privacy Policy at https://logagent.app/privacy-policy. The Application is local-first: activity data is stored only on your device.
11. Changes to the Terms
11.1. The Provider may amend these Terms. The current version is published at https://logagent.app/terms, with material changes announced in advance where required.
11.2. Continued use after changes take effect constitutes acceptance of the updated Terms.
12. Governing law and disputes
12.1. These Terms are governed by the laws of [governing-law jurisdiction], without prejudice to mandatory consumer-protection rights in your country of residence.
12.2. Disputes are subject to the courts of [jurisdiction]. EU consumers may also use the European Commission's Online Dispute Resolution platform.
